1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the GPS vehicle tracking and fleet management platform ("Service") operated by Anima GPS DOOEL ("Company", "we", "us", or "our"), a company registered in North Macedonia with its registered office at 1520 St. No. 6, Industrial Zone Pintija, Skopje, North Macedonia.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• "Service" refers to the Anima GPS web-based platform, mobile applications, APIs, and any related software provided by the Company for GPS vehicle tracking, fleet management, route optimization, fuel monitoring, and related functionality.
• "Subscriber" or "you" refers to the individual or legal entity that subscribes to the Service.
• "Subscription" refers to the recurring payment plan under which you access the Service.
• "Tracking Data" refers to all GPS coordinates, vehicle telemetry, routes, fuel consumption data, and other information collected by the GPS hardware and processed through the Service.
• "Hardware" refers to GPS tracking devices and related equipment installed in vehicles to transmit data to the Service.

3. Service Description

Anima GPS provides a cloud-based (SaaS) GPS vehicle tracking and fleet management platform that includes:

• Real-time vehicle location tracking and monitoring
• Fleet overview and dashboard analytics
• Route history, trip logging, and route optimization
• Fuel consumption tracking and reporting
• Geofencing and custom alert configuration
• Driver communication (via supported devices)
• Vehicle maintenance and service scheduling
• Comprehensive fleet reports (daily, weekly, monthly)
• Mobile application access
• Third-party API integrations

4. Account & Subscription

4.1 Registration. To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 Subscription Plans. Access to the Service is provided on a subscription basis. The scope of features, number of tracked vehicles, and pricing are determined by your selected subscription plan. Subscription details, including pricing and billing cycles, are set forth in your service agreement.

4.3 Payment. Subscription fees are due in advance for each billing period. If payment is not received within 15 days of the due date, we reserve the right to suspend access to the Service until the outstanding balance is paid.

4.4 Cancellation. You may cancel your subscription at any time by providing written notice. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Redistribute, sublicense, or resell access to the Service without prior written consent from the Company
• Use the Service to track vehicles or individuals without proper legal authorization and consent
• Interfere with or disrupt the integrity or performance of the Service

6. Data Ownership & Retention

6.1 Your Data. All Tracking Data generated by your vehicles remains your property. We process this data solely to provide and improve the Service.

6.2 Data Retention. Tracking Data is retained for the duration of your active subscription. Upon cancellation, data is retained for 30 days to allow for export, after which it may be permanently deleted.

6.3 Data Export. You may request an export of your Tracking Data at any time during your active subscription by contacting our support team.

7. Service Availability

We strive to maintain continuous availability of the Service. However, we do not guarantee uninterrupted access and the Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control (including but not limited to network outages, GPS satellite issues, or force majeure events).

We will make reasonable efforts to provide advance notice of scheduled maintenance windows.

8. Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the exclusive property of Anima GPS DOOEL and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for the duration of your subscription.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• The Company's total cumulative liability arising out of or related to these Terms shall not exceed the total fees paid by you during the twelve (12) months preceding the event giving rise to the claim.

The Company does not guarantee the accuracy of GPS tracking data. GPS signals may be affected by atmospheric conditions, obstructions, device malfunction, or other factors beyond our control.

10. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• Your subscription payment remains overdue for more than 30 days
• Required by law or regulatory authority

Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
